Vendors who post their videos on www.HandBookLve.com:
Vendors are any individual or business entity including product manufacturers and service providers that open an account, free or paid with HandBookLive, Inc., or agree verbally or in writing to have their videos posted on www.HandBookLive.com.
HandBookLive provides its platform and the embedded players as means of facilitating distribution of standardized product/service videos to the public. Vendors who upload videos to HandBookLive.com or have HandBookLive, Inc. upload and post their videos on their behalf, acknowledge that HandBookLive, Inc. is not responsible for the content of the videos, text or images posted to HandBookLive.com. Vendor agrees that the information in the videos and other documents is true and correct, does not include any confidential or proprietary information or trade secrets of any third party, and is not in violation of the rights of any copyright, trade secret, trademarks, patents, other rights, or any laws regarding pornography, indecent content or offensive material.
For each video posted, Vendors agree to follow the HandBookLive standardized format of "Chapter 1 - Introduction", "Chapter 2 - Basic Features", "Chapter 3 - Quick Start". This ensures the integrity of the HandBookLive platform and its purpose of providing the public with the best product/service videos to assist consumers in finding information quickly and easily. Vendors can add additional chapters after the required Introduction, Basic Features and Quick Start chapters.
Handbooklive, Inc. may modify the videos or require Vendors to do modifications to the videos. The purpose of such modifications are strictly to ensure the adherence to the HandBookLive format, not to change the nature of the instructions or to change any other information presented in the videos.
HandBookLive makes every effort but does not guarantee the review of all videos in their entirety before rendering them live and reserves the right to delete or deny posting of any videos that fail to adhere to the standardized format, or can potentially damage the HandBookLive reputation for integrity, quality and consistency.
Vendors shall own and retain the exclusive rights, title and ownership of the videos they post on this site. HandBookLive, Inc. shall maintain control of the video for purposes of posting on the Handbooklive website. At any time Vendors can take their videos off line temporarily or delete them permanently.
Vendors shall and does hereby indemnify, defend, and hold harmless HandBookLive, Inc., HandBookLive’s officers, directors, owners, agents, and affiliates from and against any and all claims, demands, losses, costs, expenses, obligations, liabilities, damages, recoveries, deficiencies, and amounts paid in settlement actually and reasonably incurred in connection with third-party claims against HandBookLive, Inc., including but not limited to injuries suffered by third-parties who view and utilize the Video. ALL CLAIMS ARISING OUT OF OR RELATING TO THIS AGREEMENT SHALL BE LITIGATED EXCLUSIVELY IN THE FEDERAL OR STATE COURTS OF SAN DIEGO NORTH COUNTY, CALIFORNIA, USA.
By default no one is allowed to re-embed videos posted by Vendors on the HandBookLive site. Vendors actively control their embed settings and need to change the default settings in order to allow their retailers, affiliates, other third parties, or public in general to re-embed Vendor's videos outside of the HandBookLive site.
Third parties who re-embed videos posted on www.HandBookLive.com:
When a third party chooses to embed vendor videos via the HandBookLive platform, they obtain non-exclusive license to display the video content on their website via the HandBookLive player. HandBookLive does not grant the third party any rights to the video content. HandBookLive cannot guarantee the continued availability of the video content to the public or third parties due to the fact that the video content is controlled by the Vendor who can modify, edit, or delete any portion of, or all of the video content at any time. Vendors reserve the right to allow or deny third party access to their video content. Based on Vendor's account type, third parties may obtain and embed Vendor video content with or without a license fee charged to the third party by HandBookLive, Inc. but in no case will third party have any ownership of Vendor's video content. Third parties embedding video content with or without a license fee agree that (A) the Vendor may change, edit or delete said content regardless of any license fees paid to HandBookLive, Inc. (B) HandBookLive, Inc may suspend Vendors accounts which will make their videos unavailable to the third parties, (C) there will be no refunds of any monthly license fees paid.
Copyright and Trademark issues:
HandBookLive is a registered trademark. Vendors have a nonexclusive right to post links to the HandBookLive website on their website. Vendors have a nonexclusive right to use the HandBookLive logo on Vendor’s product or service packaging. Vendors have a nonexclusive right to advertise using links to the HandBookLive website, utilize the HandBookLive logo and reference HandBookLive in any product or service literature whereby Vendor makes reference to their videos on the HandBookLive website.
